John and Patricia Turner Sign Letter of Intent to buy Printer
San Diego, CA—June 13, 2007, John and Patricia Turner have signed a letter of intent to purchase a San Diego based printer
John Turner stated "We began our search for a viable acquisition in January and we looked at several printers in San Diego county. We narrowed our list to three and began negotiations with the final printer selected in late April. We have concluded our negotiations and agreed to the proposed purchase price and terms. We will begin due diligence, drafting of contracts and completing our business plan. We hope to complete the acquisition by December."
Turner declined to name the printer saying that doing so now would be unfair to the employees and customers but he did say the company has been doing business in San Diego for over 10 years. Turner stated "we have a good understanding of the printing industry in San Diego. It is very competitive. The company we are purchasing is doing very well, it has an excellent customer list and excellent employees. The owner is ready to retire from the printing industry and pursue some of his life long personal dreams. It is very important that we plan carefully for the ownership transition, the current owner and us, talking with key customers, employees and vendors, explaining why the owner is selling and explain what we are going to do to make the company even better than before."
The new company JPCG Printers, Inc., will continue to operate under the name of the current company for as long as needed to transition to the Allegra brand.
After the acquisition is complete the Turners will make significant investments to increase the capabilities and technologies of the company. John Turner stated "the company we are working to acquire has a reputation with their customers of excellent service and top quality products We intend to build on this history of excellence by adding new technologies and capabilities. By working with our partners at Allegra, we hope to increase our value to our customers by offering a variety of new services. Specifically, these services will include help with marketing and sales promotion programs involving printed and web product, printing from fast turn around color and black & white digital, offset printing, brochures, catalogs, signs, banners and mailing. Variable data printing, for example, is an area where we can merge technology with customer need. Variable data printing and mailing services will allow us to offer significant value to our customers in how they promote their products and services. Variable data technology allows more than simply printing the address of the recipient. We can create and mail documents specifically printed for an individual customer (our customers customer). We knew one of the most viable ways to grow our new company was to expand our capabilities quickly, to align with Allegra Networks, LLC. With Allegra we have access to their knowledge in all areas of the printing and imaging business, including technology, supply and operating strategies."
Allegra Network LLC, is one of world’s largest graphic communications companies linking more than 600 locations in North America and the United Kingdom. The company supports six brands under its printing division – Allegra Print & Imaging, American Speedy Printing, Instant Copy, Insty-Prints, Speedy Printing, Zippy Print and the Signs Now brand under its sign division. Members of its printing division offer advanced graphic communications technologies including full-color printing, graphic design services and electronic publishing, digital color copying, high speed copying and online file transfer; members of its sign division provide an array of sign solutions from creative concept to final production of high-impact, professional signs, banners and other visual communications tools to businesses worldwide. Founded in 1976, Allegra Network is privately owned by an investor group led by the company's management including chairman and CEO William McIntyre. Other shareholders include Michael Marcantonio and Domino's founder Thomas S. Monaghan.
Patricia Turner stated "We are looking forward to growing this printing business. The San Diego market of potential customers is huge and I know we can grow this company significantly. John will focus on technology, marketing and sales plans, and I will worry about the day to day operations. We have a lot of resources and knowledge at our disposal. From what we can see the company we are buying has wonderful competent employees and loyal repeat customers. It is a San Diego based business, allowing John and I more time to put our energies into growing the business as opposed to our previous companies where John was traveling (to the factories in Asia and to customers in the US) all the time."
The Turner's goal is to close escrow on the printer acquisition by October 2007.
